Terms of Service.

By engaging with Miko Apps for software solutions or utilizing our bespoke implementation services, you agree to these terms. We maintain professional, enterprise-grade standards to ensure a successful long-term technical partnership.

1. Professional Engagement Framework

Miko Apps operates as the proprietary software department of Tripster Developers. Our service agreements are established upon the installation of our software via the Shopify App Store or through a formal Statement of Work (SOW) for custom implementations like the Live Odoo Connector. By using our services, you confirm you have the authority to bind your organisation to these terms.

2. Software-as-a-Service (SaaS) Subscriptions

All Miko Apps are provided on a recurring subscription basis. Billing is handled natively through the Shopify billing API. You are responsible for maintaining an active subscription to ensure the continued functionality of reward calculations, ERP data synchronisation, and B2B pricing logic. Failure to maintain an active subscription may result in immediate suspension of API access and logic processing.

3. Data Synchronisation & Uptime Responsibility

While we engineer our tools for 100/100 performance and target 99.9% uptime, we operate within a complex ecosystem of third-party APIs. Miko Apps and Tripster Developers are not liable for business outcomes resulting from:

• Unannounced API changes by third-party platforms (Shopify, Odoo).
• Data synchronisation delays caused by external server outages.
• Improper configuration of business rules within the Shopify or Odoo admin environments.

4. Intellectual Property & Code Ownership

Tripster Developers retains full and exclusive ownership of all proprietary code, framework logic, algorithmic patterns, and visual designs used across the Miko ecosystem. Your subscription grants you a non-exclusive, revocable license to utilize these tools on your authorized Shopify store. You may not attempt to reverse-engineer, decompile, or redistribute any part of the Miko software suite.

5. Limitation of Liability & Indemnity

To the maximum extent permitted by law, our liability is strictly limited to the fees paid for the specific software subscription during the three months preceding any claim. You agree to indemnify Tripster Developers and Miko Apps against any third-party claims arising from your use of our software in violation of local consumer laws (e.g., improper loyalty reward marketing).

6. Governing Law & Jurisdiction

These terms are governed by the laws of New Zealand, where Tripster Developers is headquartered. Any disputes shall be resolved exclusively within the jurisdiction of New Zealand courts. This applies regardless of the merchant's physical location or primary market.
